Bylaws Review 2017

A committee of current and past Board members has worked on reviewing our Bylaws over the past 4 months.  Thank you to Marbe Cook, Gayle Jacobsen, Barbara Frazier, Elizabeth Garber, Kathleen Roulet, and Pat Pauley for their hard work.  As per our Bylaws, you will be asked to consider these changes during our August business meeting.  Changes to the current document are in red – deletions are scored and additions are bolded.

The impetus for this review was to insure that the Guild will have a reserve fund to protect it from any financial losses should an emergency arises.  Although we have engaged in this practice, it was never stated in our Bylaws.  As we worked though the document, we found other needed changes.  A short summary follows:

  • Addition of Article 9 – Financial Integrity.  Creates a reserve fund to protect the Guild from losses.  Defines emergency. Defines process for using funds.
  • Article 5 – Treasurer Responsibilities.  Creates a process for reviewing monthly banking reports.
  • Articles 3, 4, 5 and 6 – Language.  Correction of typographical errors, removal of redundant or outdated language or practice and clarification language. 
  • Standing Rules – Language.  Clarification and removal of redundant or outdated language or practice.
  • Standing Committees – Change of title and duties of Special Projects to Events Coordinator.
